- Terms of Agreement -

1. Authorization:  Client is engaging Penny Hillman (aka Skyline Webs), a sole proprietor, as an independent contractor and service provider for the specific project of developing and/or improving a World Wide website to be installed on a web hosting service's computer.  The client also authorizes Skyline Webs to publicize said completed website to Web search engines, as well as other Web directories and indexes. 

2. Standard Website Package includes the following elements: 

  • Basic geo-centric website sections including but not limited to Welcome, Offices, Customer Service, Express Orders, Our Staff, Consumer Info, Money Matters, County/Area Info, Realtor Zone. All research for and production of these sections to be provided by Skyline Webs.
  • Basic framed website sections including but not limited to Forms & Docs, Tech Tools, F.Y.I., Consumer Info., Title Library. All research for and production of these sections to be provided by Skyline Webs.
  • E-mail/phone consultation (Up to 2 hours total general Internet orientation education, marketing strategy. Additional education and consultation is at hourly rate of $110 per hour.
  • Custom Graphics. Masthead graphic on first page (custom graphic incorporating company logo). Top-of-page graphic for all other pages in your website. Colorful lines and bullets, and colored and textured background.
  • Additional photos and other misc. graphic images to be supplied by client.
  • Installation of web pages on web hosting service.
  • Minor updates and changes to existing web pages, subject to the limits outlined below. Additional changes billed at hourly rate of $110 per hour. 
  • Domain Name and Hosting to be provided by Skyline Webs.
  • Site submitted to major Web search engines.

3. Where custom work beyond the scope of the "Standard Website Package" (detailed above) is requested, it will be billed at the hourly rate of $110 per hour. 

4. Maintenance and Hourly Rate: This agreement includes minor webpage maintenance to regular web pages as well as regularly scheduled monthly updates and additions to F.Y.I. and Tech Tools sections and Top Ten Monthly Favorite Sites. Skyline Webs will also edit/add information/pages as necessary to most advantages use of site.  Changes requested by the client beyond those limits will be billed at the hourly rate of $110 per hour. This rate shall also govern additional work authorized beyond the maximums specified above for such services as general Internet orientation education, marketing consulting, webpage design, editing, modifying pages, art, photo, and graphics services. 

5. Changes to Submitted Information: Time required to make substantive changes to client-submitted information after the web pages have been completed will be additional, billed at the hourly rate.

6. Web Hosting: The client understands that any web hosting services require a separate contract with a web hosting service. The client agrees to allow Skyline Webs to select appropriate web hosting service with full access to the website and a cgi-bin directory via FTP and telnet. The client further understands monthly web hosting service fee is included in "Standard Website Package" charge.

7. Domain Name: Skyline Webs will purchase agreed upon domain name for website.

8. Completion Date: Skyline Webs and the client must work together to complete the website in a timely manner. We agree to work expeditiously to complete the website no later than three weeks after receipt of completed order form.

9. Print Marketing: To be made available to client in PDF format via a designated support site.  Access to Print Marketing to be made available the first Thursday morning after completion of client's web site.

10. Payment of Fees: Payment for services is on a monthly basis and is due on the 30th of the month (or the 28th if February).  You will receive a faxed or emailed invoice several days prior to each due date.  Payment for services will commence on the 30th of the month after your site goes live and you begin receiving your print marketing pieces.  We will accept payment by Company check.  Advertising the pages to Web search engines and updating occur only after the site is complete and first 2 months payment is made. 

11. Assignment of Project: Skyline Webs reserves the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion.

12. Legal Stuff: In no event will Skyline Webs be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these web pages or website, even if Skyline Webs has been advised of the possibility of such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

13. Copyrights and Trademarks: The client represents to Skyline Webs and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Skyline Webs for inclusion in web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend  Skyline Webs and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.

14. Laws Affecting Electronic Commerce: From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The client agrees that the client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend  Skyline Webs and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the client's exercise of Internet electronic commerce.

15. Copyright to Web pages: Copyright to the finished assembled work of web pages produced by Skyline Webs is owned by Skyline Webs.  Skyline Webs and its subcontractors retain the right to display graphics and other Web design elements as examples of their work in their respective portfolios.

16. Payment of fees: In order for Skyline Webs to remain in business, payments must be made promptly. If an amount remains delinquent 30 days after its due date, Skyline Webs reserves the right to remove web pages from viewing on the Internet until payment is made. In case collection proves necessary, the client agrees to pay all fees incurred by that process. Please pay on time.

17. Sole Agreement: The agreement contained in this contract constitutes the sole agreement between Skyline Webs and the client regarding this website and print marketing program. Any additional work not specified in this contract must be authorized by a written change order. All prices specified in this contract will be honored for six (6) months after both parties agree to this contract.
